A chief executive officer runs the company day to day. The board of directors supervises the CEO on behalf of shareholders. A non-executive chairman chairs that board without holding an operating job in the company, which keeps supervision at arm's length. An executive chairman, by contrast, chairs the board while remaining an officer of the company, which is why boards that create one usually also designate a lead independent director - an independent board member who can convene the independent directors on their own and speak for them. Apple's transition is a textbook instance: Cook moves from CEO to Executive Chairman, and Levinson steps from non-executive chairman to lead independent director so that an independent voice still leads the outside directors.
Simple Analogy: If the CEO is the captain of a ship and the board is the owners' committee, an executive chairman is a former captain who now chairs that committee - so the owners appoint one member with no crew loyalties to speak for them.
